Applicable to: All international or cross-border B2B transactions
1. Scope
These terms apply to all international or cross-border sales of OuChang Valve products. They supplement the general Sales Terms and Terms of Service.
2. Quotation and Pricing
- All international quotations are indicative until confirmed in writing by OuChang Valve.
- Prices are usually quoted in USD, EUR, or as mutually agreed.
- Quotations exclude import duties, taxes, shipping, insurance, and other charges unless specified.
3. Orders and Confirmation
- Orders must be confirmed in writing (email, fax, or signed purchase order).
- No order is binding until OuChang Valve issues a written order confirmation.
4. Incoterms
- All shipments are governed by Incoterms 2020, as specified in the contract.
- Commonly used terms include FOB (Free On Board), CIF (Cost, Insurance, Freight), or EXW (Ex Works).
- The chosen Incoterm determines the transfer of risk, cost responsibilities, and delivery obligations.
5. Risk and Title
- Risk of loss or damage passes to the buyer at the point specified by the agreed Incoterm.
- Title to the goods remains with OuChang Valve until full payment has been received, unless otherwise agreed.
6. Shipping and Documentation
- Buyer is responsible for providing accurate shipping information, customs documentation, and compliance with local import regulations.
- OuChang Valve will provide standard commercial invoices, packing lists, and certificates of origin upon request.
- Any delays, fines, or penalties caused by incorrect documentation or customs clearance are the buyer’s responsibility.
7. Payment
- Payment terms for international orders will be agreed in the contract (commonly T/T, L/C, or other mutually accepted methods).
- All bank charges and currency conversion fees are the responsibility of the buyer unless otherwise agreed.
8. Taxes, Duties, and Customs
- All import duties, VAT, tariffs, and other local taxes are the responsibility of the buyer.
- OuChang Valve shall not be liable for any additional costs incurred due to customs clearance or regulatory compliance in the buyer’s country.
9. Warranty and After-Sales Service
- International shipments are covered by the standard warranty and after-sales terms, unless otherwise specified in the contract.
- The buyer is responsible for shipping costs for warranty returns or repairs, unless agreed otherwise.
10. Export Control
- Buyers must comply with all applicable export control laws and regulations.
- OuChang Valve reserves the right to suspend or cancel orders if shipment to the buyer’s country violates export laws.
11. Governing Law and Dispute Resolution
- These cross-border terms are governed by the laws of the People’s Republic of China.
- Any disputes arising from international transactions shall first be resolved through amicable negotiation; if unresolved, disputes shall be submitted to a competent court in Wenzhou, China.
